Terms of Service

These Terms of Service ("Terms") govern your use of the Ghost Automation platform, our software-as-a-service applications operated for our retail clients (the "Apps"), and our website at ghostautomation.tech (the "Website"). Please read them carefully.

By creating an account, using the Apps, or accessing the Website, you agree to these Terms. If you do not agree, do not use the Apps or Website.

1. About Ghost Automation

Ghost Automation LLC is a Nevada limited liability company that operates a multi-tenant software-as-a-service platform for specialty retailers, including vape shops, indoor sports facilities, and other regulated retail operators. Our platform powers white-label customer applications, loyalty programs, and admin dashboards on behalf of our retail clients. References to "we," "us," and "our" mean Ghost Automation LLC. References to "you" and "your" mean the individual using the Apps or Website.

2. Eligibility and age requirements

You must be at least 18 years old to create an account or use the Apps. If you use an App that is operated for a retailer subject to age-restricted product sales, you must also meet the applicable legal age in the jurisdiction where the retailer operates (for example, age 21 or older in Nevada for certain regulated products). By using the Apps, you represent that you meet these age requirements.

The retailer remains solely responsible for verifying customer age and compliance with applicable laws at the point of sale.

3. Accounts and authentication

To use the Apps, you create an account by providing your mobile phone number and verifying it through a one-time passcode sent by SMS. You are responsible for maintaining the confidentiality of your account, for all activity that occurs under your account, and for promptly notifying us of any unauthorized use. You agree to provide accurate information when registering and to keep that information current.

You may have only one active account per phone number per retailer App. We may suspend or terminate accounts that are inactive, fraudulent, or used in violation of these Terms.

4. SMS program terms

This section governs SMS messages sent through the Apps and contains carrier-required disclosures.

By providing your phone number and requesting a verification code, you consent to receive SMS messages from Ghost Automation as described above. Carriers are not liable for delayed or undelivered messages. Your wireless carrier may impose its own message and data rates. SMS messages are sent through our messaging service provider (Twilio); see our Privacy Policy for details.

5. Loyalty program terms

The Apps may offer a loyalty program operated by Ghost Automation on behalf of the retailer. Points, tiers, rewards, streaks, and challenges are tracked in our system based on validated transactions at the retailer.

• Earning points. Points are awarded when you scan a receipt QR code from a qualifying transaction at the retailer, within the receipt-scan window configured by the retailer. Points have no cash value and cannot be redeemed for cash.
• Redeeming rewards. Rewards may be redeemed by selecting a reward in the App and presenting the corresponding redemption code or your phone to a cashier at the retailer, who applies the matching discount at the register. Rewards are subject to availability and may have expiration dates.
• Pending redemptions. Once redeemed, rewards remain in a pending state until validated by a subsequent receipt scan. Pending redemptions expire after the time window set by the retailer if the corresponding purchase is not completed.
• Modifications. The retailer may add, modify, or discontinue tiers, rewards, point values, and program rules at its discretion. We may also modify the program for technical, security, or legal reasons. Where reasonably possible, we will give notice of material changes through the App or by email.
• Fraud and abuse. We may adjust, withhold, or revoke points and rewards if we determine in good faith that they were earned through fraud, error, abuse, or violation of these Terms or the retailer's policies.

6. Acceptable use

You agree not to:

• Use the Apps for any unlawful purpose or in violation of any applicable law, regulation, or third-party right.
• Attempt to access another user's account or impersonate another person.
• Reverse-engineer, decompile, or attempt to derive source code from the Apps, except to the extent permitted by applicable law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Apps, our systems, or any related networks.
• Use automated means to access the Apps or harvest data from them, except as expressly permitted.
• Submit false, misleading, or fraudulent transactions, receipts, or redemption attempts.
• Use the Apps to harass, abuse, or harm another person.
• Probe, scan, or test the vulnerability of any system or network.

7. Your relationship with the retailer

The Apps are operated by Ghost Automation on behalf of retailers. When you make a purchase at the retailer, your transaction is with the retailer, not with Ghost Automation. The retailer is responsible for product availability, pricing, age verification, regulatory compliance, sales tax, refunds, and any matters relating to the products you purchase.

Ghost Automation does not handle physical products, process payments for transactions, or operate any retail activities. We are a software vendor providing technology services to the retailer.

8. Intellectual property

The Apps, the Website, and all related software, content, branding, and design are owned by Ghost Automation LLC or our licensors and are protected by copyright, trademark, and other laws. White-label branding (such as the retailer's name, logo, and color palette) is owned by or licensed to the relevant retail client. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Apps for your personal, non-commercial use, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Apps or our software, except as expressly permitted by us in writing.

9. Third-party services

The Apps integrate with third-party services, including SMS messaging through Twilio and point-of-sale services provided by the third-party point-of-sale systems our retail clients use. Your use of these services through the Apps is subject to those providers' terms and privacy policies in addition to these Terms. We are not responsible for the practices, content, or availability of third-party services.

10. Termination

You may stop using the Apps at any time. To delete your account, email kalub@ghostautomation.tech.

We may suspend or terminate your access to the Apps at any time, with or without notice, if we believe you have violated these Terms, abused the loyalty program, or engaged in conduct that creates risk for Ghost Automation, the retailer, or other users. We may also suspend or discontinue the Apps in whole or in part at any time. Sections that by their nature should survive termination — including ownership provisions, disclaimers, limitations of liability, indemnification, and governing law — will survive.

11. Disclaimers

The Apps and Website are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Apps will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

We make no warranties regarding products sold by any retail client or the accuracy, reliability, or completeness of any information made available through the Apps. Loyalty point and reward calculations are estimates based on data we receive; the retailer's records control in the event of a discrepancy.

12. Limitation of liability

To the maximum extent permitted by law, Ghost Automation LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Apps or Website, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to these Terms or the Apps will not exceed one hundred U.S. dollars (US$100), or the amount you paid Ghost Automation in the twelve months preceding the claim, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Ghost Automation LLC, its officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Apps, your violation of these Terms, or your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration shall be the state or federal courts located in Elko County, Nevada, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will notify you through the Apps, by email, or by other reasonable means before the changes take effect. Your continued use of the Apps after changes take effect constitutes acceptance of the revised Terms.
